TurnkeyBE may provide its services directly or through affiliated entities, contractors, technology providers or other authorized service providers. The specific legal entity providing a particular service, the applicable jurisdiction, and the commercial terms of a transaction may be identified in the applicable order, proposal, license agreement, service agreement or invoice.

Definitions

• “TurnkeyBE”, “Company”, “we”, “us” or “our” means the applicable TurnkeyBE contracting entity.
• “Client”, “Partner”, “you” or “your” means the individual or legal entity purchasing or using a TurnkeyBE product, license or service.
• “Platform” means the software, website, calculators, systems, interfaces, infrastructure, integrations and related technology supplied by TurnkeyBE.
• “Market” means the country or territory identified in the applicable commercial agreement.
• “License” means the rights granted to the Client to operate the applicable TurnkeyBE business system within the agreed Market.
• “Deliverables” means the specific technology, services, documentation, configuration, customization and other items expressly identified in the applicable proposal, order or agreement.

Website Use

You may use the TurnkeyBE website for lawful business and informational purposes.

You agree not to:

• use the website for unlawful purposes;
• attempt to gain unauthorized access to any system;
• interfere with the operation or security of the website;
• copy, reproduce or commercially exploit website content without permission;
• use automated systems to scrape or collect website content without authorization;
• use information obtained from the website to compete unfairly with TurnkeyBE.

Business Opportunity and License Model

TurnkeyBE may offer certain digital business systems on an exclusive-market or country-license basis. A license provides the Client with the rights expressly described in the applicable commercial agreement.

Unless expressly stated otherwise in writing, purchasing a TurnkeyBE license does not constitute the purchase of TurnkeyBE as a company, shares, a partnership, an employment relationship, or a general franchise arrangement.

Territorial Exclusivity

Where a product is sold as a Country Exclusive License, TurnkeyBE may grant the Client exclusive operating rights for the agreed Market. The exact scope, duration and conditions will be stated in the applicable commercial agreement.

Unless expressly agreed otherwise, territorial exclusivity applies only to the specific TurnkeyBE business model, platform or product identified in the agreement.

Licensed Technology

Depending on the purchased package, TurnkeyBE may provide access to or deliver software, source code, calculators, databases, website infrastructure, APIs, documentation, design systems, and business logic.

The exact items included in a purchase are determined by the applicable proposal, invoice, order or agreement. Any feature or asset not expressly included in the applicable agreement is not automatically included.

Intellectual Property

Unless expressly transferred in writing, all intellectual property rights relating to TurnkeyBE’s pre-existing technology, systems, methodologies, frameworks, templates, libraries, reusable components, algorithms, know-how, documentation, trademarks, branding and other proprietary materials remain the property of TurnkeyBE or the applicable rights holder.

Market Localization

Depending on the purchased package, TurnkeyBE may assist with localization of the platform for the Client’s Market. Localization may include language, currency, local measurements, materials, pricing, calculators, market-specific content, branding, and selected integrations.

The Client is responsible for reviewing and approving localized information before launch.

Calculators and Estimates

TurnkeyBE may provide construction, renovation, design, pricing or other calculators. Calculator outputs are estimates and are provided for informational and planning purposes only.

Calculator results should not be treated as professional engineering, architectural, legal, financial or construction advice. Users should obtain appropriate professional advice before making significant decisions based on calculator results.

Implementation and Launch

Where implementation services are included, TurnkeyBE will use commercially reasonable efforts to configure and prepare the applicable system according to the agreed scope. Estimated implementation timelines are estimates only.

Launch dates may be affected by Client delays, missing information, approval delays, third-party services, hosting or infrastructure issues, legal or regulatory requirements, or unforeseen technical issues.

Fees and Payment

The price of a TurnkeyBE product or license is stated in the applicable commercial proposal, invoice or agreement. Unless otherwise agreed in writing, payment schedules may include an initial advance payment before development, configuration or implementation begins.

The Client is responsible for paying all agreed fees by the applicable due dates.

Refunds and Cancellations

Because TurnkeyBE products may involve customized technology, localization, configuration, development and reserved market rights, fees may become non-refundable once work has commenced.

The applicable proposal, order, license agreement or service agreement may establish specific cancellation and refund terms.

Confidentiality

Each party agrees to protect confidential information received from the other party. Confidential information may include business plans, technical information, source code, pricing, customer information, commercial terms, internal documentation, strategies, credentials, and non-public business information.

Changes to These Terms

TurnkeyBE may update these Terms from time to time. The updated version will be published on this website with a revised “Last Updated” date.

Changes will not retroactively alter material contractual rights under an existing agreement unless required by law or expressly agreed by the parties.
